These Terms and Conditions ("Terms") govern your access to and use of the OJO platform, website, and services provided by Life Designer Pvt Ltd ("OJO", "we", "us", or "our"). Please read these Terms carefully before using our services.
1. Acceptance of Terms
By creating an account, accessing, or using the OJO platform, you agree to be bound by these Terms and our Privacy Policy. If you are using OJO on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not use our services.
2. Service Description
OJO is an AI-native business operating system designed for small and medium businesses (SMBs). The platform provides integrated modules for:
- Sales & CRM: Lead management, pipeline tracking, proposal generation, and client portal.
- Smart Projects: Project planning, task management, milestone tracking, and team performance monitoring.
- HR & People: Employee management, hiring, payroll processing, attendance tracking, and performance reviews.
- Finance & Accounts: Invoicing, expense tracking, bank reconciliation, and financial reporting.
- OJO Brain (AI Engine): Cross-module intelligence providing insights, recommendations, risk alerts, and automated workflows.
3. Account Registration & Security
- You must provide accurate, complete, and current information when registering for an account.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must immediately notify us of any unauthorized access to your account.
- One person may not maintain multiple free accounts. Each workspace must represent a legitimate business entity.
- You are responsible for all activities that occur under your account.
4. Data Ownership
Your data belongs to you. OJO does not claim ownership over any business data, content, or information you upload, create, or store on the platform ("Your Data").
- You retain all rights, title, and interest in Your Data.
- You grant OJO a limited, non-exclusive license to process Your Data solely for the purpose of providing and improving the services, including powering AI features within your workspace.
- Your Data is never used to train AI models that serve other customers. AI processing is scoped to your workspace only.
- You may export Your Data at any time through the platform's export functionality or by contacting support.
- Upon account deletion, Your Data will be permanently removed within the timeline described in our Privacy Policy.
5. Acceptable Use
You agree not to use OJO to:
- Violate any applicable law, regulation, or third-party rights.
- Upload or transmit malicious code, viruses, or harmful content.
- Attempt to gain unauthorized access to other accounts, systems, or networks.
- Use the platform for any illegal, fraudulent, or deceptive purpose.
- Scrape, crawl, or use automated means to extract data from the platform beyond authorized API usage.
- Reverse engineer, decompile, or disassemble any part of the platform.
- Resell, sublicense, or redistribute access to OJO without prior written consent.
- Store or process data that you do not have the lawful right to collect or use.
We reserve the right to suspend or terminate accounts that violate these guidelines.
6. AI Features & Limitations
OJO includes AI-powered features ("OJO Brain") that provide insights, predictions, recommendations, and automated actions based on your business data.
- Advisory only: AI-generated outputs are informational and advisory. They should not be treated as professional financial, legal, or HR advice. You are responsible for all business decisions made using OJO.
- Accuracy: While we strive for accuracy, AI outputs may contain errors or inaccuracies. We recommend verifying critical decisions independently.
- Data scope: AI features process data within your workspace only. The quality of AI outputs depends on the quality and completeness of the data you provide.
- No autonomous decisions: OJO does not make binding decisions on your behalf (such as sending payments or terminating employees) without your explicit confirmation.
7. Payment & Billing
- Free tier: OJO offers a free plan with limited features. No payment is required for the free tier.
- Paid plans: Paid subscriptions are billed monthly or annually as selected at the time of purchase. Prices are listed on our Pricing page.
- Auto-renewal: Paid subscriptions renew automatically. You may cancel before the renewal date to avoid charges.
- Refunds: Annual plans are eligible for a pro-rata refund within 7 days of purchase. Monthly plans are non-refundable for the current billing period.
- Taxes: Prices are exclusive of applicable taxes (GST, etc.) unless stated otherwise. You are responsible for any applicable taxes.
- Price changes: We will provide at least 30 days' notice before any price increases for existing subscribers.
- Failed payments: If a payment fails, we will attempt to collect up to 3 times. After which, your account may be downgraded to the free tier.
8. Intellectual Property
- The OJO platform, including its design, code, features, logos, and documentation, is owned by Life Designer Pvt Ltd and protected by intellectual property laws.
- You may not copy, modify, distribute, or create derivative works of any part of the platform without our written consent.
- The "OJO" name, logo, and related trademarks are the property of Life Designer Pvt Ltd. You may not use them without our prior written permission.
- Feedback, suggestions, or feature requests you submit may be used by OJO to improve the platform without obligation to you.
9. Service Availability
- We strive to maintain high availability but do not guarantee uninterrupted or error-free service.
- Scheduled maintenance windows will be communicated in advance when possible.
- We are not liable for service interruptions caused by factors beyond our reasonable control, including internet outages, natural disasters, or third-party service failures.
- For paid plans, our target uptime is 99.9%. Specific SLA terms are available for Enterprise customers upon request.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- OJO is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
- We do not warrant that the platform will meet all your requirements or that AI outputs will be accurate, complete, or reliable.
- In no event shall Life Designer Pvt Ltd be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- Our total liability for any claim arising from or related to these Terms shall not exceed the amount you paid to OJO in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Life Designer Pvt Ltd, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use or misuse of the platform.
- Your violation of these Terms.
- Your violation of any third-party rights.
- Data you upload or process through the platform that you did not have the right to use.
12. Termination
- By you: You may cancel your account at any time through account settings or by contacting support. Upon cancellation, your subscription will remain active until the end of the current billing period.
- By us: We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or fail to pay for your subscription after multiple attempts.
- Effect of termination: Upon termination, your right to use the platform ceases immediately. You may request an export of Your Data within 30 days of termination. After 30 days, Your Data will be permanently deleted.
- Survival: Sections relating to Data Ownership, Intellectual Property, Limitation of Liability, Indemnification, and Governing Law survive termination.
13. Governing Law & Disputes
- These Terms are governed by the laws of India, without regard to conflict of law provisions.
- Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
- Before filing a legal claim, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes:
- We will update the "Last updated" date at the top of this section.
- We will notify you via email or an in-product notification at least 30 days before the changes take effect.
- Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
- If you do not agree to the updated Terms, you may cancel your account before the changes take effect.
